1. Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of the Fencer website (the "Site"), operated by Fencer The Movie, LLC ("Fencer The Movie," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.
2. Informational Purposes Only — No Offer of Securities
The Site is provided for general informational and promotional purposes regarding the proposed motion picture tentatively titled Fencer. Nothing on the Site constitutes, or should be construed as, an offer to sell, a solicitation of an offer to buy, or a recommendation regarding any security, investment, or financial product in any jurisdiction.
Any "indication of interest" submitted through the Site is voluntary and non-binding. No money or other consideration is being solicited and, if sent, will not be accepted. No offer to buy securities can be accepted, and no part of any purchase price can be received, until an offering statement (if any) has been qualified by the U.S. Securities and Exchange Commission (the "SEC") or another applicable regulator. Any indication of interest involves no obligation or commitment of any kind, and may be withdrawn at any time prior to acceptance of an offer to buy after qualification. This disclosure is provided in accordance with Rule 206 under the Securities Act of 1933, as amended (Regulation Crowdfunding testing-the-waters).
The interest form on this Site only records a non-binding range of interest; it does not collect income, net worth, or other financial-suitability information. Any actual investment, if a Regulation Crowdfunding offering proceeds, will be subject to the per-investor investment limits under Rule 100(a)(2) of Regulation Crowdfunding (17 C.F.R. § 227.100(a)(2)), which are calculated at the offer stage based on the investor's annual income and net worth as reported at that time. Nothing you indicate here creates any entitlement to invest above those limits.
Information on the Site does not constitute legal, tax, accounting, or investment advice. Forward-looking statements (including statements about production timing, shooting in New Jersey, attached talent, casting, or release plans) reflect current intentions only and are subject to change without notice. Actual outcomes may differ materially.
3. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to submit any form on the Site. By using the Site you represent that you have the legal capacity to enter into these Terms.
4. Intellectual Property
All content on the Site — including the "Fencer" name, logos, artwork, photographs, text, video, and design — is owned by or licensed to Fencer The Movie, LLC and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may view the Site for personal, non-commercial purposes only. No other use, reproduction, distribution, modification, or creation of derivative works is permitted without our prior written consent.
5. Acceptable Use
You agree not to:
- use the Site in violation of any law or regulation;
- submit false, misleading, or fraudulent information;
- attempt to gain unauthorized access to the Site or related systems;
- interfere with the Site's operation, including by uploading malicious code; or
- scrape, harvest, or otherwise extract content except as permitted by these Terms.

The Site may link to third-party websites or services. We do not control and are not responsible for the content, policies, or practices of any third party.
7. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot be excluded or limited under applicable law (including non-waivable rights of consumers under the laws of California or the European Union/United Kingdom).
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FENCER THE MOVIE, LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE. This section does not limit liability that cannot be limited under applicable law.
9. Indemnification
You agree to indemnify and hold harmless Fencer The Movie, LLC from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or misuse of the Site.
10. Non-Discrimination
Fencer The Movie, LLC is committed to equal access. We do not discriminate on the basis of race, color, religion, national origin, ancestry, sex, gender, gender identity, gender expression, sexual orientation, marital status, medical condition, military or veteran status, genetic information, age, disability, or any other characteristic protected by applicable law, including the California Unruh Civil Rights Act (Cal. Civ. Code § 51), the Americans with Disabilities Act, and comparable U.S. federal, state, and European Union and United Kingdom equality laws.
11. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Subject to mandatory consumer-protection laws of your place of residence (including the EU/UK), any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction there. Nothing in this section deprives you of the protection of mandatory provisions of the law of the country where you reside.
12. Changes to the Terms
We may update these Terms at any time. Material changes will be reflected by an updated "Last updated" date. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.
